Terms of Service

1. Overview
These Terms of Service govern access to and use of the Kotelab website, demo request forms, and any Kote product, platform, software, documentation, APIs, dashboards, or related services made available by Kotelab. In these Terms, "Kotelab," "Kote," "we," "us," and "our" refer to Kotelab.
If you are using Kote on behalf of a company or other organization, you represent that you have authority to bind that organization. If your organization has entered into a separate written agreement with Kotelab, that agreement controls to the extent it conflicts with these Terms.
2. Website use and demo requests
Our website is provided for informational, marketing, support, and commercial inquiry purposes. You may use the website only in compliance with applicable law and these Terms.
If you submit a demo request or contact form, you agree that the information you provide is accurate and that Kotelab may contact you about your inquiry. Submitting a form does not create a customer agreement, service commitment, partnership, or obligation for Kotelab to provide services.
3. Product access and customer agreements
Access to the Kote product is subject to approval, onboarding, technical requirements, and any applicable order form, subscription agreement, customer agreement, data processing addendum, or other written terms agreed between Kotelab and the customer.
Product features, integrations, analytics, storage, retention, notifications, AI model behavior, and deployment support may vary by plan, customer configuration, region, and implementation scope.
4. Customer responsibilities
Customers are responsible for their own deployment and use of Kote, including the cameras, sites, users, data, configurations, notices, and operational decisions connected to their account.
- Customer must have all rights, permissions, licenses, and authority needed to connect camera feeds, RTSP streams, DVR/NVR channels, sites, locations, zones, and related systems to Kote.
- Customer is responsible for the placement, angle, field of view, and lawful operation of cameras and monitored premises.
- Customer is responsible for configuring users, roles, access permissions, alert rules, retention settings, and operational workflows appropriately.
- Customer is responsible for reviewing outputs, alerts, event clips, search results, and recommendations before making operational, employment, security, legal, or safety decisions.
- Customer must ensure that its personnel and authorized users comply with these Terms and all applicable customer policies.
5. CCTV, AI analytics, and legal compliance
Kote processes video and related event data from customer-controlled cameras. Customers are responsible for ensuring that their use of CCTV, video analytics, AI-enabled monitoring, alerts, search, re-identification, person or vehicle tracking, and related features complies with all laws and regulations that apply to their sites and individuals present at those sites.
- Customer must provide all required notices, signage, employee notices, visitor notices, policies, disclosures, and consents before enabling monitoring or analytics where required by law.
- Customer must assess laws relating to privacy, CCTV, workplace monitoring, biometric data, surveillance, labor and employment, security, and consumer protection in each jurisdiction where Kote is deployed.
- Customer must not use Kote for unlawful surveillance, harassment, discrimination, retaliation, profiling, or any purpose prohibited by applicable law.
- Customer must not use Kote in a way that violates the rights, safety, or reasonable expectations of employees, visitors, customers, contractors, or members of the public.
CCTV and workplace monitoring rules vary by jurisdiction. Kotelab does not determine whether a customer's deployment is lawful. Customers should consult their own legal counsel before deploying Kote, especially in workplaces, public premises, regulated facilities, or locations where biometric or sensitive data laws may apply.
6. Prohibited uses
You may not use the website or Kote to:
- Violate applicable law or third-party rights.
- Attempt unauthorized access to Kotelab systems, customer systems, accounts, networks, data, or infrastructure.
- Upload, transmit, or introduce malware, harmful code, spam, or abusive traffic.
- Interfere with, disrupt, reverse engineer, scrape, overload, or bypass the security or access controls of Kotelab services.
- Use outputs from Kote as the sole basis for decisions that legally require human review, formal investigation, or due process.
- Misrepresent Kotelab, Kote, product capabilities, analytics outputs, alerts, or event detections.
- Use Kote to build competing products or benchmark services without written permission.
7. AI outputs and human review
Kote uses AI and computer vision systems to surface events, clips, alerts, and operational insights. AI outputs may be incomplete, inaccurate, delayed, or affected by camera quality, lighting, occlusion, network conditions, configuration, model limitations, and environmental factors.
Customers are responsible for validating alerts and outputs before taking action. Kote is intended to assist human teams, not replace professional judgment, emergency response procedures, formal investigations, legal obligations, or safety protocols.
8. Data protection and privacy
Our handling of personal information is described in our Privacy Policy. Where Kotelab processes customer video or personal data on behalf of a customer, the customer is generally the controller or business, and Kotelab acts as a processor, service provider, or similar role under applicable law.
Enterprise customers may be required to enter into a Data Processing Addendum or similar agreement before using Kote in production. Customers are responsible for ensuring that their instructions to Kotelab are lawful and that they have a valid legal basis for processing data through Kote.
9. Security
Kotelab uses technical and organizational safeguards designed to protect the website, product, and customer data. However, no system is completely secure. Customers are responsible for maintaining secure credentials, limiting access to authorized users, promptly removing users who no longer require access, and notifying Kotelab of suspected unauthorized access.

10. Customer systems and third-party services
Kote may interoperate with customer cameras, DVRs/NVRs, RTSP streams, networks, storage, notification channels, identity systems, cloud infrastructure, and third-party services. Customer is responsible for the availability, security, configuration, and lawful use of customer-controlled systems and third-party services.
Kotelab is not responsible for failures, delays, outages, data loss, or security incidents caused by customer systems, third-party providers, network connectivity, device failures, misconfiguration, or unsupported infrastructure.
11. Fees, subscriptions, and payment
If the customer purchases a licence or pilot, fees, billing terms, taxes, usage limits, renewal terms, and payment obligations will be set out in an applicable order form, invoice, proposal, or customer agreement. Unless otherwise agreed in writing, fees are non-refundable except where required by law.
Kotelab may suspend or limit access for non-payment, misuse, security risk, unlawful use, or material breach of applicable terms.
12. Intellectual property
Kotelab and its licensors own all rights, title, and interest in the website, product, software, models, workflows, interfaces, documentation, designs, trademarks, and related technology. Except for rights expressly granted in a written agreement, no rights are transferred to you.
Customers retain ownership of their camera feeds, customer data, event data, and configurations, subject to Kotelab's rights to process such data to provide, secure, support, and improve the services as permitted by the applicable agreement and law.
13. Feedback
If you provide suggestions, ideas, or feedback, Kotelab may use them without restriction or compensation, provided that we do not use your confidential information in violation of an applicable written agreement.
14. Confidentiality
If confidential information is exchanged in connection with demos, pilots, proposals, or customer deployments, each party must protect the other party's confidential information using reasonable care and may use it only for the purpose for which it was provided, unless otherwise agreed in writing.
15. Disclaimers
To the maximum extent permitted by law, the website and any pre-commercial, beta, trial, pilot, or evaluation services are provided on an "as is" and "as available" basis. Kotelab does not warrant that the website or product will be uninterrupted, error-free, or able to detect every event, threat, anomaly, or incident.
Kote is not a substitute for trained security personnel, emergency services, safety procedures, legal compliance, or professional judgment.
16. Limitation of liability
To the maximum extent permitted by law, Kotelab will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of goodwill, business interruption, or loss of data. Any aggregate liability will be limited to the amount paid to Kotelab for the applicable service during the period specified in the customer agreement, or if no such agreement exists, one hundred US dollars (US$100).
17. Indemnity
Customer will defend, indemnify, and hold harmless Kotelab from claims, damages, liabilities, penalties, costs, and expenses arising from customer's deployment or use of Kote, customer data, customer systems, unlawful monitoring, failure to provide required notices or consents, violation of applicable law, or breach of these Terms or any customer agreement.
18. Suspension and termination
Kotelab may suspend or terminate access to the website or services if we reasonably believe there is unlawful use, security risk, non-payment, misuse, breach of terms, or risk of harm to Kotelab, customers, individuals, systems, or third parties. Termination and data deletion for paid customers will be handled according to the applicable customer agreement and Data Processing Addendum.
19. Changes to these Terms
We may update these Terms as our product, business, or legal obligations evolve. Material changes will be reflected by updating the "Last updated" date. Continued use of the website or services after changes become effective means you accept the updated Terms.
